Article 1. General Provisions

  1. These innwell-pilates.com Online Store Regulations (hereinafter referred to as the “Regulations“) define the rules for making purchases within the online store available in the shop.innlineglobal.com domain (hereinafter referred to as the “E-store“) and for providing services electronically in the scope of maintaining an account referred to in Article 2, paragraph 5.
  2. The Seller is Innwell spółka z ograniczoną odpowiedzialnością with its registered office in Poznań (62-081) at ul. Innowatorów 8 in Dąbrowa, entered into the register of entrepreneurs by the District Court of Poznań – Nowe Miasto and Wilda in Poznań, 8th Commercial Division of the National Court Register under KRS number 0000626697, with the Tax Identification Number (NIP): 7811930340 and the share capital of PLN 100,000 e-mail: biuro@innwell.pl, tel. +48 666 700 883.
  3. To use the E-shop, a device with access to the Internet and a web browser such as Internet Explorer, Microsoft Edge, Google Chrome, Mozilla Firefox, Opera or Safari in the current version is required. To use some of the functionalities of the E-shop, including registration and placing orders for Products, an active e-mail account is required.

Article 2. Customers and registration

  1. Only entrepreneurs can be Customers of the E-shop. All activities performed on behalf of Customers can only be performed by persons duly authorized in this respect.
  2. In order to make it easier to use the functionalities of the E-shop, the Customer can register (create an Account) by filling out an electronic form available on the E-shop website. Creating and using an account is free of charge. To make a purchase, the Customer is not required to create an account.
  3. As a result of correctly completed registration, the Customer receives access to the account created for him, which he can use within the E-shop after providing the e-mail address and password provided during registration (logging in).
  4. The agreement for the provision of electronic services in the scope of maintaining the account is concluded between the Customer and the Seller at the moment the Customer receives access to the account created for him.
  5. In the event of any changes to the data entered in the account, the Customer is obliged to update them immediately. The Customer is responsible for providing incomplete, outdated or untrue data or for failing to update their data accordingly.
  6. The rights and obligations related to the Account may only be transferred if the Customer sells all or part of the business that the Account is part of to another entrepreneur, after presenting the E-Shop with documents confirming the sale in the above scope.
  7. The Customer is not allowed to provide other people with access to the Account, including disclosing the password used to access the Account. The Customer is obliged to keep the Account password secret and protect it from disclosure. The Customer is obliged to immediately inform the Seller if the access data to the Account has been taken over by third parties and to explain the circumstances of their takeover.
  8. Customers who do not have a registered account when making purchases will be required to provide the delivery address, i.e. the recipient’s data, delivery address – in order to execute the sales contract and an e-mail address and mobile phone number – in order to contact regarding the execution of the delivery.
  9. In the event of a breach of the Regulations, legal regulations or good practices by the Customer, the Seller may terminate the contract with the Customer or suspend its execution within a given Account. In particular, this applies to a situation in which the Customer has downloaded or used in any way the materials available within the E-shop without the consent of the E-shop.
  10. Any aggregation and processing of data and other information available in the E-shop for the purpose of further sharing them with third parties within other websites and outside the Internet is prohibited. It is also prohibited to use the Seller’s markings, including characteristic graphic elements, without the consent of the Seller or another entity authorized to grant such consent.
  11. In the event of justified concerns about the security of the Account or transactions made through it, in particular in the event of unauthorized takeover of the Account, the E-shop may:
  1. a)make the use of the Account dependent on the Client’s confirmation of its credibility with appropriate documents,
  2. b)temporarily limit access to individual Account functionalities,
  3. c)suspend (deactivate) the Account for a specified or indefinite period.
  1. The Account is maintained for the Client for an indefinite period. The Client may at any time request that the Account be discontinued by submitting a declaration via the appropriate electronic form available in the E-shop.

Article 3. Orders

  1. The E-shop publishes information about products (hereinafter referred to as “Products“) and the terms of their purchase and delivery. For the avoidance of doubt, this information does not constitute an offer, but merely an invitation to submit offers with the content indicated in the information about the Product. The Customer’s selection of Products and confirmation of the will to purchase them constitutes an offer to conclude a purchase agreement for the indicated Products (hereinafter referred to as “Order“).
  2. Customers who are natural persons conducting business activities may place an Order only if the purchase of the Product is of a professional nature for them.
  3. The Customer selects Products by adding selected Products to the (virtual) basket. Placing Products in the basket does not involve their reservation. If the quantity of available Products is exhausted before the Customer confirms the Order, the Seller reserves that the Order will not be accepted for execution.
  4. After selecting the Products and before selecting the payment method, the Customer is obliged to provide a full and correct shipping address and telephone number, which should not change until delivery. The delivery address can only be changed in extraordinary circumstances after consultation with the Seller and before the Products are handed over to the carrier for delivery.
  5. After the Customer places the Order and selects the payment method, the Customer receives a confirmation of the Order by e-mail from the Seller. When the Order is accepted by the Seller, the Customer receives an appropriate message. Upon receipt of this message by the Customer, a sales agreement is concluded between the Seller and the Customer. In the event that only part of the Order has been confirmed, then the agreement is concluded only with respect to the confirmed Products.
  6. If the Seller is unable to fulfill the service in whole or in part due to the fact that the Product is not available, or due to unforeseen circumstances it has not been delivered to the Seller or has been damaged or lost, then the Seller will immediately notify the Customer and return the received price or provide a substitute service of the same value as the price paid – at the Customer’s discretion and with the Customer’s consent.

Article 4. Payment

  1. Payments are made by the Customer to the provided account number or using electronic payment methods provided by a specialized payment institution with which the Seller has concluded an agreement.
  2. The price of the Product given in the Product description is a net price. The price does not include the costs of transport and delivery of the Products, the amount of which is indicated separately.
  3. The purchase of the Product is documented by issuing a VAT invoice. The Customer agrees to receive electronically, to the e-mail address indicated by him during Registration, an electronic image of settlement documents, in particular such as: VAT invoices with attachments, including corrective VAT invoices.

Article 5. Delivery of Products

  1. The place of fulfillment of the performance of the sales contract by the Seller is the place where the Product will be received (and in case of doubt, the place where the Product should be received according to the Customer’s indication).
  2. The time and cost of shipping the ordered Products is indicated in the Order summary. The given shipping time includes business days. If the Customer has purchased multiple Products within one Order, and these Products have different shipping times, they will be delivered together after the entirety has been completed, i.e. in the longest of the given shipping times of individual Products.
  3. Products are shipped only to addresses located in the territory of the Republic of Poland, as well as to countries that the Seller has indicated and specified a separate shipping cost. If the Seller has such an option and by way of a separate agreement with the Customer, the Products may also be shipped to countries other than those indicated in the E-shop.
  4. Products are delivered by specialized carriers. The Seller informs the Customer about the details of the Delivery, and in particular about which carrier will deliver the shipment along with a link to track the stages of its delivery via e-mail.
  5. The Customer is obliged to check the condition of the Product or, if this is difficult, the condition of the shipment (packaging) immediately after delivery of the shipment. In the event of any damage that may occur during transport, the Customer should prepare an appropriate damage report and immediately notify the Seller.
  6. The Seller is not responsible for failure to deliver the Product due to reasons attributable to the Customer – e.g. due to providing an incorrect or incomplete delivery address that prevents delivery of the parcel. In such a situation, the Seller will notify the Customer of the unsuccessful attempt to deliver the Product.

Article 6. Personal data protection

  1. The Seller is the administrator of the personal data of Customers and persons indicated by Customers.
  2. Personal data is processed by the Seller in accordance with the provisions of law and solely for purposes related to the Seller’s activity within the E-shop, including for the purpose of concluding and implementing sales agreements (handling Product sales transactions, communicating with Customers and handling complaints), as well as archiving transactions.
  3. Personal data is processed on the basis of: a) acceptance of the Regulations by the Customer (when creating an account or placing an Order), b) the need to perform the agreement for the Customer, or c) the legitimate interest of the Administrator (e.g. defense against claims or in the case of third party data provided by Customers – indicating the address for delivery of another person).
  4. Providing the Seller with personal data is voluntary, however, failure to provide certain personal data may result in difficulties or the impossibility of concluding a sales agreement, its effective performance or ensuring proper service after-sales.
  5. The recipients of personal data are persons acting on behalf of the Seller, responsible for processing and fulfilling orders placed by Customers, as well as after-sales service (e.g. resolving complaints) and entities providing services to the Seller related to the fulfillment of orders (e.g. postal companies or courier companies). Recipients may also be entities authorized to receive data under applicable law, including the relevant judicial authorities.
  6. Personal data may be transferred to third countries (outside the countries belonging to the European Union) in connection with the delivery of Products ordered by the Seller.
  7. Personal data are stored for the period necessary to fulfill orders or maintain the Customer’s account in the E-shop. After this period, the data may be processed based on: the Seller’s legal obligations (e.g. in the scope of storing accounting documents), or a legitimate interest (defense against claims that may be due to the Seller).
  8. The Seller ensures that persons whose personal data it processes have the rights resulting from the provisions of the law, including the right to access the content of their own personal data, to rectify, change, delete or transfer it, and also the right to demand the restriction of the processing of personal data and to object to such processing on the principles specified in the relevant regulations. Furthermore, in the case of voluntary consent to the processing of data, each person whose data is processed has the right to withdraw consent to the processing of data. Each person whose data is processed also has the right to lodge a complaint with the President of the Personal Data Protection Office.
  9. Personal data concerning Customers and other persons whose data has been reported by the Customer are protected by the Seller against their disclosure to unauthorized persons, as well as other cases of their disclosure or loss or unauthorized modification of the indicated data and information by applying appropriate technical and organizational security measures.
  10. In matters concerning the processing of personal data not regulated in the Regulations, the appropriate provisions of the Privacy Policy shall apply, the content of which is available on the website www.innlineglobal.com
  11. The Administrator has appointed a Data Protection Inspector, who can be contacted by e-mail: iod@innwell.pl in any matter concerning data processing personal data.

Article 7. Complaints Procedure

  1. Klient może złożyć reklamację wobec Sprzedającego, w szczególności w przypadku niezgodności Produktu z umową bądź wad Produktu, a także jeżeli działania Sprzedającego są realizowane niewłaściwie lub niezgodnie z postanowieniami Regulaminu.
  2. Reklamację można złożyć w drodze elektronicznej poprzez formularz kontaktowy znajdujący się na stronie internetowej E-sklepu lub w formie poczty elektronicznej bądź pisemnie na adres Sprzedającego.
  3. Reklamacja powinna zawierać: dane rejestrowe Klienta, dane kontaktowe, opisanie transakcji, której reklamacja dotyczy lub innych okoliczności uzasadniających reklamację, a także konkretne żądanie Klienta związane ze składaną reklamacją. W przypadku jeśli reklamacja dotyczy Produktu wraz ze złożeniem reklamacji należy złożyć Produkt, podlegający reklamacji oraz potwierdzenie dokonania jego zakupu.
  4. Jeżeli podane w reklamacji dane lub informacje wymagają uzupełnienia, przed rozpatrzeniem reklamacji, Sprzedający zwraca się do Klienta składającego reklamację o jej uzupełnienie we wskazanym zakresie.
  5. Sprzedający rozpozna reklamację w terminie 14 dni od daty jej otrzymania. Klient otrzyma informację o sposobie rozpatrzenia reklamacji w sposób zgodny ze swoim życzeniem (np. drogą korespondencji elektronicznej, na adres podany przez niego w drodze rejestracji bądź pisemnie). W przypadku odrzucenia reklamacji Sprzedający powiadomi o tym Klienta podając powody tej decyzji.
  6. Gdy wymiana bądź naprawa Produktu okaże się możliwa, Sprzedający powiadomi o tym Klienta oraz przekaże wszelkie informacje dotyczące dalszego toku postępowania. W przypadku uzasadniającym zwrot ceny, należność za zakupiony przez Klienta Produkt zostanie zwrócona w terminie 14 dni po uzyskaniu przez Sprzedającego zwrotu tego Produktu.
  7. Sprzedający nie przyjmuje żadnych przesyłek odsyłanych za pobraniem.
  8. Klient ma możliwość odwołania się od decyzji Sprzedającego dotyczącej złożonej reklamacji.
  9. Zwrot zapłaconej przez Klienta ceny następuje w sposób analogiczny do wybranej przez Klienta metody płatności za Produkt.
  10.  W pozostałym zakresie odpowiedzialność Sprzedającego z tytułu rękojmi za wady produktu w stosunku jest wyłączona.

Article 8. Final Provisions

  1. The Seller reserves the right to change the Regulations in the event of:
    1. the occurrence of important reasons of a technical and organizational nature, such as the emergence of new technologies and IT systems that affect the operation of the E-shop;
    2. changes in generally applicable legal provisions;
    3. the need to adapt the Regulations to the positions of court rulings or administrative decisions, if the content of these positions of rulings and decisions indicates the obligation to change the Regulations;
    4. whereby changes to the Regulations will not: (i) require the Customer to pay remuneration or additional amounts, (ii) violate the essence of concluded agreements, (iii) apply to Orders already placed.
  2. The Seller will notify the Customer of any changes to the Regulations no later than 7 days before the proposed date of entry into force of the changes by informing about it on the website E-shop.
  3. A change to the Regulations shall become effective on the date specified in the notification, unless the Customer has previously submitted a statement of non-consent to the amended content of the Regulations to the following address: e-sklep@innwell.pl, which statement shall be tantamount to termination of the agreement for the provision of electronic services in the scope of maintaining the Account.
  4. Customers are prohibited from using graphic elements (including the “Innwell” trademark), layout and composition of the E-shop’s websites (so-called layout), graphic elements, and other intellectual property rights, without the express written consent of the Seller.
  5. The law applicable to sales agreements between the Customer and the Seller under the terms specified in the Regulations is Polish law.
  6. Any disputes that arise from the application of these Regulations between the Customer and the Seller will be resolved by the competent common court in Poznań.
